AGREEMENT
We offer our executive
search services under the following conditions. Our fees are paid on
a contingency basis solely by the employer when a person is hired or
retained, including consulting, through our referral. Fees are
calculated as 25% of the applicant's first year guaranteed earnings.
Our charges are due on the starting date of the applicant. If the fee
is paid in full within ten working days of the applicant's starting
date, we will discount the fee by 1.5% of the total amount due.
We guarantee all placements
unconditionally for 100 calendar days from the first day of
employment of the applicant.
If the applicant terminates
or is terminated for just cause, excluding lay-off due to merger or
lack of work, we will replace the applicant with proper adjustments
made to the above fee schedule for the replacement applicant's
compensation. executive

will have exclusive rights to the
replacement search for a period of 60 calendar days from the date of
termination. If after this 60-day period we have not identified a
replacement applicant, we will refund the fee prorated over the
guarantee period. This guarantee is valid only if notification of
termination is received within five working days of the applicant's
termination.
In the event that your
company or affiliate company hires a applicant referred by executive
search-staffing firm
within 6 months of our referral of said applicant, your company
must assume responsibility for the resulting fee under the terms of
this agreement.
All proprietary information
received from your company will be held in strict confidence and
used solely for the purpose of selecting qualified applicants. Information about
applicants referred by executive
search-staffing firm
is solely for
your use and benefit and must not be divulged to anyone outside of
your company.
